SUPERJOB END USER LICENSE AGREEMENT

IMPORTANT — READ CAREFULLY. This End User License Agreement ("Agreement") is a legal agreement between you ("You") and Braydon Lupul ("Licensor") for the SuperJob job-management software, including its traffic accommodation plan builder, embedded sign catalogue, device symbols, starter libraries, report and document layouts, documentation, and any updates (collectively, the "Software"). By clicking "I Accept", installing, or using the Software, You agree to be bound by this Agreement. If You do not agree, click "Decline" and do not use the Software.
1. LICENSE GRANT. Licensor grants You a personal, non-exclusive, non-transferable, revocable license to install and use the Software on devices You control, for Your internal business purposes only. A license is issued to a single computer and is valid for the license term stated when it was issued.
2. OWNERSHIP. The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights in its design, calculation methods, layout engine, embedded content, device symbols, and report and document formats. No rights are granted except as expressly stated in this Agreement.
3. RESTRICTIONS. You shall not, and shall not permit any third party to:
(a) copy, distribute, sell, sublicense, rent, lease, or lend the Software;
(b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent such restriction is prohibited by applicable law;
(c) extract, scrape, or reuse the Software's embedded content — including the sign catalogue as assembled, device symbols, libraries, or document layouts — for use outside the Software or in any competing product;
(d) extract, cache, store, or redistribute mapping content other than as Section 7 permits;
(e) remove or alter any proprietary notice, attribution line, or verification notice in or on the Software or on any document it produces; or
(f) use the Software to develop a competing job-management or traffic-control plan product.
4. YOUR DATA. Jobs, quantities, costs, daily logs, billings, traffic plans, and other files You create with the Software belong to You. You are solely responsible for the data You import and for ensuring You have the right to use it. This Agreement grants You no rights to any third party's data. Your job files remain readable by You after any license expires.
5. BETA SOFTWARE. The Software is provided as beta software. It is under active development, ships frequent updates, and may contain defects. Features may change or be removed between releases. You are responsible for maintaining backups of Your job files. Section 11 (No Warranty) and Section 12 (Limitation of Liability) apply with full force to beta software.
6. TRAFFIC ACCOMMODATION PLANS — YOUR RESPONSIBILITY. THIS SECTION IS THE MOST IMPORTANT ONE IN THIS AGREEMENT. READ IT.
(a) The Software's traffic accommodation plan builder is a DRAWING AND CALCULATION TOOL. It is not a traffic engineering service, it does not provide engineering advice, and it does not certify, approve, or warrant any plan.
(b) The Software places devices using dimensions taken from published sources and from defaults supplied with the Software. Certain of those defaults — including advance-warning sign spacing, longitudinal buffer length, and channelizing device spacing — are interpolated starting points, NOT authenticated regulatory values for any jurisdiction. The Software states this on every plan sheet it produces.
(c) YOU ARE SOLELY RESPONSIBLE for verifying every plan against the manual, standard, bylaw, and permit conditions that govern Your work site before the plan is submitted, relied on, or used to set up a work zone; for obtaining every required permit and approval; and for obtaining a professional engineer's review and stamp where the governing authority or applicable law requires one.
(d) YOU ARE SOLELY RESPONSIBLE for the safety of the work zone as it is actually built in the field, including whether the devices installed match the plan and whether the plan remains appropriate as conditions change.
(e) The sign designations, descriptions, and dimensions shown by the Software are provided for Your convenience and may not match the manual governing Your work. Verify them.
(f) You must not remove, obscure, or alter the verification notice, the attribution lines, or the capture date that the Software prints on a plan sheet.
7. MAPPING CONTENT AND THIRD-PARTY SERVICES. The traffic accommodation plan builder displays base maps and aerial imagery supplied by Esri (Environmental Systems Research Institute, Inc.) and its licensors ("Mapping Content"), accessed through the ArcGIS Location Platform. As a condition of using the Software:
(a) You agree to be bound by Esri's terms of use applicable to ArcGIS Location Platform and the Mapping Content, as published by Esri and amended from time to time, and by the terms of Esri's data suppliers. Esri and its licensors are intended third-party beneficiaries of this Section.
(b) You are granted NO independent license to the Mapping Content. You may use it only within the Software and within the documents the Software produces.
(c) You may not extract, scrape, cache, store, republish, resell, or redistribute Mapping Content, or use it to create a derivative map dataset, or use it with any other mapping service or software.
(d) A plan sheet produced by the Software embeds a flattened, static image of the map view together with the required attribution and the date it was captured. You may use and submit that sheet as part of a permit application or work-zone documentation. You may not separate the map image from the sheet or from its attribution, nor use it for any other purpose.
(e) Mapping Content requires an internet connection and is provided by a third party. Licensor does not warrant its availability, currency, or accuracy. Imagery may be out of date and must not be relied on as a survey or as a representation of current site conditions.
(f) You may supply Your own ArcGIS API key in the Software, in which case Your use is billed to and governed by Your own agreement with Esri.
8. SIGN ARTWORK AND OPEN DATA. The Software's sign catalogue includes artwork derived from the Government of Alberta traffic sign catalogue, published under the Open Government Licence – Alberta, together with public-domain artwork. The Software prints the required attribution on every plan sheet. You must not remove that attribution. Inclusion of a sign face in the Software is not a representation that the face is current, complete, or correct for Your jurisdiction.
9. NO PROFESSIONAL ADVICE; JOB RECORDS, BILLINGS, AND CLAIMS. The Software is a calculation and organization tool. It does not provide engineering, legal, accounting, or professional advice. You bear sole responsibility for the accuracy and completeness of every quantity, cost, forecast, daily log, change notice, time-and-materials ticket, progress estimate, invoice, and holdback or tax calculation You produce or submit, whether or not it was computed or suggested by the Software, and for meeting every contractual and statutory notice deadline that applies to Your work. Any deadline warning the Software shows is a convenience, not a guarantee.
10. UPDATES. The Software may check a public release feed for updates and, with Your action, download and install them. No information about You, Your jobs, or Your files is sent when it does so. Updates are part of the Software and covered by this Agreement (or an updated agreement presented at that time).
11. NO WARRANTY. THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, THAT ANY CALCULATION OR OUTPUT IS CORRECT, OR THAT ANY TRAFFIC ACCOMMODATION PLAN PRODUCED WITH IT COMPLIES WITH ANY MANUAL, STANDARD, PERMIT CONDITION, OR LAW.
12. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, OR FOR ANY PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE OCCURRING IN OR NEAR A WORK ZONE, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100) IF NO AMOUNT WAS PAID. NOTHING IN THIS AGREEMENT EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED BY LAW.
13. INDEMNITY. You will indemnify and hold Licensor harmless from any claim, demand, loss, or expense arising from Your use of the Software, from any traffic accommodation plan You produce, submit, or build in the field, and from Your breach of this Agreement or of Esri's terms referenced in Section 7.
14. TERMINATION. This Agreement is effective until terminated. It terminates automatically if You breach any term. Upon termination You must cease using the Software and destroy all copies; Your job files remain Yours. Sections 2, 3, 4, 6, 7, 8, 9, 11, 12, 13, 15, and 16 survive termination.
15. GOVERNING LAW. This Agreement is governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. The courts of Alberta shall have exclusive jurisdiction over any dispute arising from this Agreement.
16. GENERAL. This Agreement is the entire agreement between the parties regarding the Software. If any provision is held unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. SuperJob is licensed separately from SuperBid; a license for one is not a license for the other.
